Terms of Service

Common terms applying to use of ARC Group's website, products, and partner portal.

This English version is provided for convenience. The Korean version prevails in case of any conflict.

Article 1 — Purpose

These Terms govern the conditions, rights, obligations, and responsibilities for using the website, product services, partner portal, and related supplementary services provided by ARC Group (the "Company").

Article 2 — Definitions

The terms used in these Terms have the following meanings. • "Service" means the website, products, customer features, partner portal, operational support, and related functions provided by the Company. • "User" means any individual or legal entity using the Service in accordance with these Terms. • "Product Customer" means a member who uses the Company's products or subscription services. • "Partner" means a legal entity or individual contact engaged with the Company in projects, operations, collaboration, contracts, or consultations. • "Account" means the login credential created to use the Service.

Article 3 — Posting and Amending the Terms

The Company posts these Terms on the Service or website. The Company may amend the Terms within the limits of applicable law and will notify Users in advance of material changes. Continued use of the Service after such changes constitutes acceptance of the amended Terms.

Article 4 — Provision of the Service

The Company may provide services including, but not limited to, the following. • Company information, inquiries, proposals, content browsing • Product Customer signup, login, workspace connection, subscription and payment management • Partner portal account application, login, project / document / operational collaboration features • Customer support, notices, operational guidance, and other supplementary functions The Company may modify portions of the Service for operational or technical reasons.

Article 5 — Account Creation and Management

Users must provide accurate information when creating an account and are responsible for managing their account and credentials. Users may not transfer, lend, or share their account with others. Users may be liable for damages arising from negligent account management.

Article 6 — Use of Product Customer Services

Product Customers may use products and subscription features provided by the Company. Detailed product features, usage scope, workspace policies, and usage limits follow each product page, checkout screen, and operational guidance. The Company may modify the structure of features or adjust certain features to maintain quality and stability.

Article 7 — Use of the Partner Portal

The partner portal is a dedicated feature for Partners with whom the Company has a collaborative relationship. Partner accounts may be issued after Company review and approval, with permissions limited by role. Project materials, documents, schedules, and operational information provided through the portal must be used only within the scope of work between the Company and the Partner.

Article 8 — Payment and Subscription

When using paid services, subscription products, or payment features, Users must agree to the prices, billing cycles, and conditions disclosed at checkout. Recurring subscriptions may auto-renew until cancellation, and certain features may vary based on payment processor policies or limitations of the payment method.

Article 9 — Refunds and Cancellation

Refund and cancellation criteria follow the separate Refund Policy or the criteria shown at checkout. Users may request cancellation per the defined process; refundable scope may vary based on what has already been delivered, whether use has begun, and the nature of the payment.

Article 10 — User Obligations

Users must not engage in any of the following. • Providing false information • Unauthorized use of another's account or permissions • Disrupting Service operations or compromising security • Infringing the intellectual property, reputation, or rights of the Company or third parties • Use that violates laws, public order and morals, or contractual purposes If a User violates these obligations, the Company may restrict the Service or suspend the account.

Article 11 — Intellectual Property

Rights to content provided by the Company — including the Service, website, documents, designs, text, logos, and operational materials — belong to the Company or its rightful owners. Users may not reproduce, distribute, transmit, modify, or commercially use such content without the Company's prior consent.

Article 12 — Service Changes and Suspension

The Company may modify or suspend all or part of the Service due to system maintenance, incident response, policy changes, third-party integration issues, or business operational needs. The Company will provide prior or post notice of material matters.

Article 13 — Limitation of Liability

The Company is not responsible for damages caused by force majeure, communications failures, third-party service outages, or User-caused issues that fall outside the Company's reasonable control. For issues caused by external systems, APIs, SaaS, payment methods, or collaboration tools that Users connect directly, the relevant providers' policies may take precedence.

Article 14 — Damages and Dispute Resolution

If a User causes damage to the Company by violating these Terms, the Company may claim compensation under applicable law. For disputes related to use of the Service, both parties shall first work in good faith to resolve them through discussion.

Article 15 — Governing Law and Jurisdiction

These Terms are governed by and construed under the laws of the Republic of Korea. Any litigation arising in connection with the Service shall be subject to the exclusive jurisdiction of the competent court under applicable law.

Supplementary Provisions

These Terms are effective from April 13, 2026.
